These Terms and Conditions (“Terms”) govern access to and use of yaava, an AI-powered virtual try-on platform for fashion merchants.
The Service is operated by Ievgenii Solovei, a sole proprietor registered in Poland, operating under the yaava brand, with a registered business address at ul. Piłsudskiego 91/1, 50-019 Wrocław, Poland, NIP/VAT number 8982302556.
In these Terms, “yaava”, “we”, “us”, and “our” refer to Ievgenii Solovei operating the yaava platform.
By installing, accessing, subscribing to, or using the Service, the Merchant agrees to these Terms.
If the Merchant does not agree to these Terms, the Merchant must not install, access, or use the Service.
1. Business Use Only
yaava is a business-to-business service intended exclusively for merchants, store owners, companies, agencies, developers, and other persons acting for business or professional purposes.
The Service is not offered directly to consumers.
By accepting these Terms on behalf of a business, the person accepting them represents and warrants that they have the authority to bind that business.
2. Definitions
For the purposes of these Terms:
Merchant means a business, Shopify merchant, store owner, company, agency, developer, or other commercial user that installs, accesses, subscribes to, or uses yaava.
Shopper means an end customer or website visitor who interacts with the yaava virtual try-on widget on a Merchant’s store.
Service means the yaava platform, Shopify application, merchant dashboard, storefront widget, analytics features, APIs, SDKs, documentation, billing functionality, and related services.
User Content means any product images, product information, store data, text, prompts, metadata, files, brand assets, or other materials made available to yaava by or on behalf of a Merchant.
Shopper Photo means a photograph uploaded or captured by a Shopper through the yaava widget for virtual try-on processing.
Generated Output means an image or other output created by the Service using artificial intelligence.
Shopper Output means a Generated Output created using a Shopper Photo.
Credit means a unit of usage required to perform an AI try-on generation or another chargeable processing operation.
Billing Cycle means the monthly or other recurring period applicable to the Merchant’s subscription.
Third-Party Provider means an external service provider used in connection with yaava, including Shopify, Paddle, fal.ai, hosting providers, analytics providers, email providers, and infrastructure providers.
3. Description of the Service
yaava enables fashion merchants to integrate AI-powered virtual try-on functionality into their Shopify stores.
Depending on the Merchant’s plan, the Service may include:
- a Shopify application;
- a customizable storefront try-on widget;
- AI-powered virtual try-on generations;
- monthly or promotional Credits;
- analytics and conversion tracking;
- product and store integrations;
- merchant account management;
- billing and usage management;
- email-based support;
- enterprise features governed by a separate agreement.
yaava does not:
- sell the Merchant’s products;
- operate the Merchant’s online store;
- process the Merchant’s customer checkout;
- provide product fulfilment;
- arrange shipping;
- manage returns or refunds for Merchant products;
- guarantee product sizing or fit;
- act as the Merchant’s customer support provider.
The Merchant remains solely responsible for its store, products, pricing, marketing, fulfilment, customer relationships, refunds, warranties, and compliance with applicable e-commerce laws.
4. Merchant Account
The Merchant may need to install the yaava Shopify application, create an account, connect a Shopify store, configure the widget, select a subscription plan, and grant necessary Shopify permissions.
The Merchant is responsible for:
- providing accurate account and business information;
- keeping account credentials secure;
- maintaining appropriate access controls;
- ensuring that only authorized persons use the account;
- protecting API keys, Shopify tokens, and other credentials;
- all activities performed through its account;
- promptly notifying yaava about unauthorized access or suspected security incidents.
The Merchant must not share its yaava account with unrelated businesses unless expressly permitted by the applicable plan or a separate agreement.
5. Shopify Integration
The Service may depend on Shopify APIs, webhooks, app extensions, storefront events, Shopify customer privacy settings, Shopify billing functionality, and other Shopify services.
The Merchant authorizes yaava to access and process the Shopify store data necessary to provide the Service.
The Merchant must comply with Shopify’s applicable terms, policies, technical requirements, and acceptable use rules.
yaava is not responsible for:
- Shopify outages;
- Shopify API limitations;
- Shopify policy changes;
- Shopify App Store decisions;
- changes to Shopify permissions;
- delays caused by Shopify;
- removal or suspension of the Merchant’s Shopify account;
- limitations imposed by Shopify on billing, tracking, or application functionality.
yaava may modify its installation, billing, integration, or technical processes where necessary to comply with Shopify requirements.
6. Subscription Plans
yaava currently offers the following standard plans.

Unless otherwise stated on the pricing page, checkout page, Shopify billing page, or applicable order form:
- all prices are stated in United States dollars;
- prices exclude VAT, sales tax, and other applicable taxes;
- paid subscriptions are billed monthly;
- paid subscriptions renew automatically;
- monthly Credits are allocated at the start of each Billing Cycle;
- unused monthly Credits expire at the end of the applicable Billing Cycle;
- unused monthly Credits do not roll over to the next Billing Cycle;
- Credits cannot be transferred between unrelated Merchant accounts;
- Credits have no cash value;
- Credits cannot be exchanged for money.
yaava may introduce additional plans, annual plans, enterprise plans, promotional plans, or customized pricing.
7. Free Plan
The Free Plan includes an initial allocation of 25 try-on Credits.
Unless expressly stated otherwise, the 25 Free Plan Credits are provided once per eligible Merchant account and are not renewed monthly.
The Free Plan may be subject to:
- lower usage limits;
- limited analytics;
- limited support;
- feature restrictions;
- branding requirements;
- technical limitations;
- fair usage restrictions.
Once the Free Plan Credits have been consumed, the Merchant must upgrade to a paid plan to continue generating try-on outputs.
A Merchant may not create multiple accounts or stores for the primary purpose of repeatedly obtaining Free Plan Credits.
yaava may modify, suspend, or discontinue the Free Plan at any time.
8. Credits and Generations
At launch, one Credit is equal to one standard AI try-on generation.
yaava may assign a different Credit cost to a future model, feature, processing mode, image quality setting, batch operation, or other functionality.
Any different Credit cost will be disclosed before the Merchant or Shopper initiates the relevant operation.
A Credit is generally consumed when a generation request is accepted and processed by the Service.
A Credit may be restored where a generation fails due to a verified technical error caused by yaava or a Third-Party Provider.
A Credit will not normally be restored solely because:
- the Merchant or Shopper does not like the result;
- the output is subjective or aesthetically unsatisfactory;
- the uploaded image was unsuitable;
- the product image was unsuitable;
- the uploaded image did not follow provided instructions;
- the Shopper submitted the same request multiple times;
- the result contained ordinary AI inaccuracies.
yaava may implement technical rules to identify failed generations and automatically return affected Credits.
9. Additional Credit Usage
Starter, Growth, and Scale plans allow the Merchant to use additional Credits after the included monthly Credits have been consumed.
Additional Credits are charged according to the Merchant’s current plan:
- Starter: USD 0.16 per additional Credit;
- Growth: USD 0.13 per additional Credit;
- Scale: USD 0.10 per additional Credit.
Additional Credit usage may be billed:
- when the usage occurs;
- periodically during the Billing Cycle;
- at the end of the Billing Cycle;
- on the Merchant’s next invoice;
depending on the applicable billing provider and billing configuration.
By continuing to use the Service after the included monthly Credits have been consumed, the Merchant authorizes yaava and the applicable billing provider to charge for additional Credit usage.
Where a usage limit or spending cap is available, the Merchant is responsible for configuring the appropriate limit.
Usage data recorded by yaava’s systems will be used to calculate Credit consumption and additional usage charges, except in the case of a demonstrated technical error.
10. Free Trials and Promotional Credits
yaava may offer free trials, promotional Credits, discounts, coupons, or other promotional benefits.
The duration and conditions of a free trial will be displayed before the Merchant activates it.
Where a payment method or billing approval is required, a free trial may automatically convert into a paid subscription at the end of the trial period unless the Merchant cancels before the trial expires.
Promotional Credits:
- may be subject to an expiration date;
- may be limited to one promotion per Merchant;
- are not refundable;
- have no cash value;
- may not be sold or transferred;
- may be revoked in the event of abuse, fraud, or violation of these Terms.
11. Billing Providers
Where the Service is installed, purchased, or subscribed to through Shopify, billing may be processed through Shopify or another billing method permitted by Shopify.
Where permitted, yaava may use Paddle to process subscription payments, usage charges, taxes, invoices, refunds, and chargebacks.
Paddle may act as Merchant of Record for transactions processed through Paddle.
The Merchant may be required to accept the applicable billing provider’s own terms and conditions.
The Merchant authorizes yaava and the applicable billing provider to charge:
- recurring subscription fees;
- additional Credit usage;
- applicable taxes;
- other charges expressly approved by the Merchant.
yaava may change billing providers where reasonably necessary for legal, commercial, operational, or platform compliance reasons.
12. Automatic Renewal and Cancellation
Paid subscriptions automatically renew at the end of each Billing Cycle unless cancelled.
The Merchant may cancel its subscription through:
- the yaava dashboard;
- Shopify;
- Paddle;
- another applicable billing provider;
- another cancellation method communicated by yaava.
Unless otherwise stated, cancellation takes effect at the end of the current paid Billing Cycle.
The Merchant may continue using the paid plan until the end of that Billing Cycle, subject to applicable Credit and usage limits.
Cancellation does not remove the Merchant’s obligation to pay:
- fees already incurred;
- additional Credit usage;
- outstanding invoices;
- taxes;
- other valid charges.
Deleting the yaava application or uninstalling the Shopify app does not automatically remove outstanding payment obligations.
13. Pricing Changes
yaava may change subscription prices, included Credits, additional Credit prices, features, or usage limits.
Where a change materially affects an existing paid subscription, yaava will provide reasonable prior notice.
Unless required otherwise by law or the applicable billing platform, a price change will apply from a future Billing Cycle and will not retroactively change charges already incurred.
If the Merchant does not agree to a pricing change, the Merchant must cancel the subscription before the new pricing becomes effective.
14. Taxes
Prices displayed by yaava may exclude VAT, sales tax, withholding tax, or other applicable taxes unless expressly stated otherwise.
The applicable billing provider may calculate, collect, and remit taxes based on the Merchant’s location, tax status, and billing information.
The Merchant is responsible for:
- providing accurate tax information;
- providing a valid VAT number where applicable;
- paying taxes that are not collected by the billing provider;
- complying with its own accounting and tax obligations.
15. Refunds
Subscription fees, additional Credit charges, and other fees are non-refundable unless:
- a refund is required by applicable law;
- these Terms expressly provide otherwise;
- yaava approves a refund at its discretion;
- the applicable billing provider requires a refund.
Unused monthly Credits, Free Credits, promotional Credits, and additional Credits are not redeemable for cash.
Cancelling a subscription does not entitle the Merchant to a refund for the unused portion of the current Billing Cycle.
yaava may provide a refund, replacement Credit, or goodwill adjustment where a verified technical failure materially prevented the Merchant from using the Service.
16. Shopper Widget
The yaava widget allows a Shopper to upload or capture a photograph and generate an AI-powered virtual try-on result.
Before allowing a Shopper to upload a photo, the Merchant must provide or display the notices, consents, and privacy information required by applicable law.
The Merchant must clearly inform Shoppers that:
- their photograph will be processed using artificial intelligence;
- the output is AI-generated;
- the output may not accurately represent real-world fit or appearance;
- their photograph will be shared with service providers required to generate the result;
- their photograph must not depict another person without permission;
- photos of minors must not be uploaded.
The Merchant must not configure, modify, or use the widget in a way that hides legally required privacy information or consent mechanisms.
17. Merchant Access to Shopper Photos
Merchants are not permitted to access, view, download, export, or retrieve original Shopper Photos through the yaava dashboard.
yaava does not provide Shopper Photos to Merchants.
The Merchant must not attempt to:
- intercept Shopper Photos;
- access Shopper Photos through technical means;
- modify the widget to capture Shopper Photos outside yaava;
- request Shopper Photos through yaava support;
- combine yaava with another tool for the purpose of secretly collecting Shopper Photos.
This restriction does not prevent a Shopper from independently sending a photograph directly to the Merchant outside the yaava Service.
18. Shopper Outputs and Marketing Use
Shopper Outputs are generated for the relevant Shopper’s personal visualization purposes.
At launch, Merchants are not permitted to access or use Shopper Outputs for:
- advertising;
- social media;
- product pages;
- email marketing;
- user-generated content campaigns;
- customer testimonials;
- retargeting;
- model photography;
- other promotional or commercial use.
yaava does not provide Merchants with functionality to use Shopper Photos or Shopper Outputs as marketing content.
Any future feature allowing such use will require separate terms and an appropriate Shopper consent mechanism.
19. AI Output Disclaimer
Generated Outputs are AI-generated approximations.
yaava does not guarantee that a Generated Output will accurately represent:
- garment fit;
- garment size;
- body measurements;
- product dimensions;
- material;
- texture;
- fabric movement;
- color;
- lighting;
- shape;
- proportions;
- transparency;
- product details;
- actual real-world appearance.
Generated Outputs may contain:
- visual artifacts;
- distortions;
- incorrect proportions;
- inaccurate product details;
- altered body or clothing features;
- inconsistent colors;
- unrealistic textures;
- other AI-generated errors.
Generated Outputs are provided for visualization and engagement purposes only.
They must not be used as the sole basis for:
- selecting a clothing size;
- making health or medical decisions;
- making safety-related decisions;
- making legal or financial decisions;
- making other important decisions.
The Merchant must not represent that a Generated Output is guaranteed to be an accurate representation of actual fit.
20. Merchant Content
The Merchant retains ownership of its product images, trademarks, logos, product information, store data, and other User Content.
The Merchant grants yaava a limited, worldwide, non-exclusive, royalty-free license to host, copy, process, store, transmit, transform, and display User Content only to the extent necessary to:
- provide the Service;
- integrate with the Merchant’s Shopify store;
- generate virtual try-on results;
- operate the widget;
- process Credits and usage;
- calculate analytics;
- provide support;
- prevent fraud and abuse;
- maintain security;
- comply with legal obligations.
The Merchant represents and warrants that it has all rights, permissions, and licenses necessary to provide User Content to yaava.
The Merchant must not provide content that infringes intellectual property, privacy, publicity, confidentiality, or other rights.
21. No AI Training
yaava does not use and does not authorize the use of the following content to train or fine-tune artificial intelligence models:
- Shopper Photos;
- Shopper Outputs;
- Merchant product images;
- Merchant store data;
- Merchant User Content.
yaava may process aggregated and anonymized operational information for:
- service performance analysis;
- security monitoring;
- fraud prevention;
- usage measurement;
- billing accuracy;
- capacity planning;
- product analytics;
- troubleshooting.
Such aggregated information must not reasonably identify an individual Shopper.
yaava may use Third-Party Providers only in accordance with the applicable data processing arrangements and Service configuration.
22. Data Retention
Original Shopper Photos are retained for no longer than 7 days after upload, unless:
- a shorter period applies;
- deletion is requested and legally required;
- temporary retention is necessary to investigate a security incident;
- longer retention is required by applicable law.
After the applicable retention period, Shopper Photos are deleted or placed into a deletion process in accordance with yaava’s technical and backup procedures.
Merchant account information is retained while the account is active and for a reasonable period after termination where necessary for:
- legal compliance;
- tax and accounting records;
- dispute resolution;
- fraud prevention;
- security;
- enforcement of these Terms.
Billing and transaction records may be retained for the period required by applicable tax and accounting laws.
Additional retention periods for Generated Outputs, analytics, logs, backups, and support records are described in the yaava Privacy Policy and Data Processing Agreement.
23. Privacy and Data Protection
yaava processes personal data in accordance with the yaava Privacy Policy and applicable data protection laws.
For Merchant account information, yaava may act as an independent data controller.
For Shopper personal data processed through the Merchant’s store, the Merchant generally acts as data controller and yaava acts as data processor, unless otherwise stated in the applicable Data Processing Agreement.
The Merchant is responsible for:
- establishing a lawful basis for processing Shopper data;
- providing required privacy notices;
- obtaining required consent;
- configuring cookie and tracking consent;
- responding to data subject requests;
- ensuring that its use of yaava complies with applicable privacy and data protection laws.
The Merchant agrees to the yaava Data Processing Agreement where it applies to the Merchant’s use of the Service.
yaava will provide reasonable assistance with valid requests relating to:
- access;
- deletion;
- correction;
- restriction;
- data portability;
- objection;
- Shopify privacy requests.
24. Analytics and Conversion Tracking
yaava may process events relating to use of the widget and the Merchant’s Shopify store.
These events may include:
- widget impressions;
- widget openings;
- photo uploads;
- generation requests;
- completed try-on generations;
- product interactions;
- add-to-cart events;
- checkout events;
- purchase events;
- conversion events;
- technical performance events.
Analytics may be provided to Merchants in aggregated or statistical form.
The Merchant is responsible for ensuring that tracking is used in accordance with:
- privacy laws;
- cookie requirements;
- consent requirements;
- Shopify customer privacy settings;
- the Merchant’s own privacy policy.
yaava does not guarantee that analytics data will be complete, uninterrupted, or error-free.
yaava does not guarantee that using the Service will:
- increase sales;
- increase conversion rates;
- increase average order value;
- reduce returns;
- improve customer retention;
- produce any specific commercial outcome.
25. Third-Party Providers
yaava may use Third-Party Providers to operate the Service.
At launch, yaava uses fal.ai for AI image generation and related processing.
yaava may also use external providers for:
- Shopify integration;
- hosting;
- storage;
- database infrastructure;
- payment processing;
- email delivery;
- analytics;
- monitoring;
- error tracking;
- customer support;
- security.
Third-Party Providers are governed by their own terms, privacy policies, technical limitations, availability commitments, and usage policies.
yaava is not responsible for failures outside its reasonable control, including:
- fal.ai outages;
- Shopify outages;
- Paddle outages;
- hosting provider failures;
- third-party API changes;
- model quality changes;
- third-party pricing changes;
- third-party policy changes.
yaava may replace a Third-Party Provider where reasonably necessary.
26. Acceptable Use
The Merchant must not use the Service to:
- violate any law or regulation;
- infringe intellectual property rights;
- infringe privacy or publicity rights;
- upload images without required permission;
- upload or process images of minors;
- generate unlawful, abusive, exploitative, hateful, defamatory, or explicit content;
- generate fake endorsements;
- impersonate another person;
- create misleading representations of real people;
- bypass billing or Credit controls;
- bypass rate limits;
- create multiple accounts to obtain promotional benefits;
- reverse engineer the Service;
- scrape or systematically extract data from the Service;
- interfere with the Service’s security;
- distribute malware;
- test the Service for vulnerabilities without written permission;
- use the Service to train or build a competing AI product;
- resell or sublicense the Service without written permission.
yaava may block generation requests, remove content, restrict functionality, suspend an account, or terminate access where it reasonably believes these Terms have been violated.
27. Intellectual Property
yaava and its licensors retain all rights, title, and interest in:
- the yaava platform;
- software;
- source code;
- object code;
- APIs;
- SDKs;
- workflows;
- algorithms;
- user interfaces;
- visual designs;
- documentation;
- trademarks;
- logos;
- databases;
- business methods;
- technical know-how.
Except for the limited right to use the Service under these Terms, no yaava intellectual property is transferred to the Merchant.
The Merchant must not copy, modify, distribute, sell, license, reverse engineer, or create derivative works from the Service except where expressly permitted by applicable law.
28. Support
Standard support is provided by email through [SUPPORT EMAIL] or another support address displayed in the Service.
Support is provided on a commercially reasonable basis.
Unless a separate agreement states otherwise, yaava does not guarantee:
- a specific response time;
- a specific resolution time;
- 24/7 availability;
- telephone support;
- live chat support;
- dedicated account management.
Support requests should include sufficient technical details to allow yaava to investigate the issue.
29. Enterprise SLA
An Enterprise Merchant may receive a separate Service Level Agreement if expressly included in an enterprise plan, order form, or written agreement.
The applicable SLA may specify:
- availability targets;
- support response times;
- incident severity levels;
- maintenance windows;
- service credits;
- exclusions;
- escalation procedures.
No enterprise SLA applies unless it has been agreed in writing.
Unless expressly included in a separate SLA, downtime caused by the following will not be included in an availability calculation:
- Shopify;
- Paddle;
- fal.ai;
- internet service providers;
- hosting and infrastructure providers;
- Merchant systems;
- Merchant configuration;
- scheduled maintenance;
- emergency security maintenance;
- misuse of the Service;
- force majeure events.
30. Suspension and Termination
yaava may suspend or terminate the Merchant’s access where:
- the Merchant breaches these Terms;
- payment is overdue;
- a billing authorization is revoked;
- the Merchant exceeds applicable limits;
- the Merchant creates a security risk;
- the Merchant engages in fraud or abuse;
- continued access may violate applicable law;
- continued access may violate Shopify or Third-Party Provider requirements;
- continued operation becomes technically or commercially impractical.
Where reasonably possible, yaava will provide notice before suspension or termination.
Immediate suspension may occur where necessary to address security, fraud, illegal activity, or material risk.
Upon termination:
- the Merchant’s right to use the Service ends;
- outstanding fees remain payable;
- additional Credit charges remain payable;
- access to the dashboard may be disabled;
- data may be deleted or retained in accordance with the Privacy Policy and Data Processing Agreement.
31. Disclaimer of Warranties
The Service is provided on an “as is” and “as available” basis.
To the maximum extent permitted by applicable law, yaava disclaims all express, implied, statutory, and other warranties, including warranties of:
- merchantability;
- fitness for a particular purpose;
- non-infringement;
- accuracy;
- reliability;
- availability;
- uninterrupted operation;
- error-free operation.
yaava does not warrant that:
- the Service will always be available;
- every generation will be successful;
- every output will be accurate;
- garments will fit as shown;
- colors and textures will be exact;
- Shopify will continue supporting a particular integration;
- fal.ai will continue supporting a particular model;
- the Service will produce a commercial benefit.
32. Limitation of Liability
To the maximum extent permitted by applicable law, yaava will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages.
This includes loss of:
- profits;
- revenue;
- business;
- customers;
- goodwill;
- anticipated savings;
- data;
- business opportunities.
yaava will not be liable for claims arising from:
- inaccurate Generated Outputs;
- Merchant products;
- garment sizing or fit;
- Merchant advertising;
- Shopper purchasing decisions;
- Shopify outages;
- fal.ai outages;
- Paddle outages;
- unauthorized access caused by the Merchant;
- Merchant failure to obtain required consent.
yaava’s total aggregate liability arising from or relating to the Service will not exceed the greater of:
- the total fees paid by the Merchant to yaava during the 12 months immediately preceding the event giving rise to the claim; or
- EUR 100.
Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.
33. Indemnification
The Merchant agrees to indemnify, defend, and hold harmless yaava from claims, liabilities, damages, losses, costs, and reasonable expenses arising from:
- the Merchant’s breach of these Terms;
- the Merchant’s User Content;
- the Merchant’s products;
- the Merchant’s Shopify store;
- the Merchant’s advertising;
- the Merchant’s relationship with Shoppers;
- failure to provide required notices or obtain required consent;
- infringement of intellectual property rights;
- violation of privacy or publicity rights;
- misleading use of Generated Outputs;
- violation of Shopify or Third-Party Provider rules.
34. Confidentiality
Each party may receive non-public commercial, technical, operational, security, pricing, or product information from the other party.
The receiving party must:
- protect confidential information with reasonable care;
- use it only in connection with the Service;
- disclose it only to persons who need access and are subject to confidentiality obligations.
Confidential information does not include information that:
- is publicly available without breach;
- was already lawfully known;
- is independently developed;
- is lawfully received from a third party;
- must be disclosed by law.
35. Security
yaava implements reasonable technical and organizational measures designed to protect the Service and personal data.
However, no online service or storage system is completely secure.
The Merchant is responsible for protecting:
- its Shopify account;
- its yaava account;
- staff access;
- passwords;
- API keys;
- tokens;
- devices;
- networks;
- store configuration.
The Merchant must promptly notify yaava of suspected unauthorized access, credential compromise, data breach, or security incident.
36. Force Majeure
yaava will not be liable for delay, interruption, or failure caused by circumstances outside its reasonable control.
Such circumstances may include:
- natural disasters;
- war;
- terrorism;
- civil unrest;
- government action;
- labor disputes;
- power failures;
- internet failures;
- cyberattacks;
- widespread infrastructure failures;
- Shopify outages;
- fal.ai outages;
- cloud provider outages;
- payment provider outages.
37. Changes to the Service
yaava may modify, improve, replace, suspend, or discontinue all or part of the Service.
yaava may change:
- features;
- AI models;
- Third-Party Providers;
- plans;
- Credit rules;
- usage limits;
- analytics;
- integrations;
- technical requirements.
Where a change materially reduces paid functionality, yaava will use reasonable efforts to provide prior notice.
38. Changes to These Terms
yaava may update these Terms from time to time.
Material changes may be communicated through:
- email;
- the yaava dashboard;
- the yaava website;
- the Shopify application;
- another reasonable notification method.
Updated Terms become effective on the date stated in the updated document.
Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
If the Merchant does not agree to the updated Terms, the Merchant must stop using the Service and cancel its subscription.
39. Assignment
The Merchant may not assign or transfer these Terms without yaava’s prior written consent.
yaava may assign or transfer these Terms in connection with:
- a business sale;
- a merger;
- a reorganization;
- a transfer of the yaava business;
- a change of legal structure;
- a transfer to an affiliated entity.
40. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force.
The invalid provision will be interpreted or replaced to the minimum extent necessary to make it enforceable while preserving its intended commercial purpose.
41. No Waiver
A failure or delay by yaava to enforce any provision of these Terms does not constitute a waiver of that provision or any other right.
42. Entire Agreement
These Terms, together with the applicable Privacy Policy, Data Processing Agreement, pricing page, order form, and enterprise agreement, constitute the entire agreement between yaava and the Merchant regarding the Service.
Where there is a conflict, the following order of precedence applies:
- a signed enterprise agreement or order form;
- an applicable Service Level Agreement;
- the Data Processing Agreement for data protection matters;
- these Terms;
- the public pricing page or other Service documentation.
43. Governing Law and Jurisdiction
These Terms and any non-contractual obligations arising from or relating to them are governed by the laws of Poland.
Any dispute, claim, or proceeding arising from or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the competent courts in Wrocław, Poland.
Before initiating formal legal proceedings, the parties agree to make a reasonable attempt to resolve the dispute in good faith.
